Terms of Service

These terms govern access to and use of the RouteKey service and this website. By using either, you agree to them. If you're agreeing on behalf of a company, you confirm you're able to bind it.

1. The agreement

"RouteKey" means RouteKey, Inc., a Delaware corporation with its principal place of business in Austin, Texas. "You" means the business or individual using the service. If we've signed a separate written agreement with you, that agreement controls where it conflicts with these terms.

2. The service

RouteKey plans and optimizes routes, dispatches them to a driver app, tracks drivers during a shift, and captures proof of delivery. We may change or improve features over time; if we remove something you rely on, we'll give reasonable notice.

3. Your data

You keep all rights to the stops, routes, driver data, and proof-of-delivery media you put through the service. You grant us only the licence we need to host it, process it to provide the service, and keep backups — nothing broader, and it ends when you remove the data or close the account.

You are responsible for having a lawful basis to collect and process the driver and recipient data you send us, and for informing your drivers and customers as the law requires.

4. Acceptable use

Don't use the service to:

We may suspend access without notice if we reasonably believe continued use threatens the service or another customer, and we'll tell you why as soon as we practically can.

5. API keys

Keys authenticate as you. Keep them out of client binaries and version control, rotate them when someone leaves, and tell us at security@routekey.io if one is exposed. You're responsible for activity under your keys until you tell us.

6. Availability

We aim to keep the service up and we publish region health at /status. The driver app is built to keep working through brief connectivity gaps — routes are cached on device and proof uploads retry in the background — and you should let it.

7. Fees

Paid plans are billed as set out in your order or order form. Fees are based on fleet size and usage; we'll give at least 30 days' notice before a price change applies to you.

8. Confidentiality

Each of us may learn non-public information about the other. Neither of us will disclose it or use it for anything other than this relationship, for as long as it stays non-public.

9. Warranties

The service is provided "as is". To the fullest extent the law allows, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Route estimates depend on third-party map and traffic data and are predictions, not guarantees.

10. Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of these terms will not exceed the fees you paid us in the 12 months before the claim. Nothing here limits liability that cannot lawfully be limited.

11. Indemnity

You'll defend and indemnify us against third-party claims arising from the data you put through the service or from your breach of section 4.

12. Termination

Either of us may end this agreement at any time. On termination your access stops and we'll delete your data within 30 days, other than backups that expire on their own schedule. Sections 3, 8, 9, 10, 11 and 13 survive.

13. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts located in Travis County, Texas have exclusive jurisdiction, and both parties consent to venue there.

14. Changes

We may update these terms. If a change materially reduces your rights we'll give at least 30 days' notice by email to your account administrators. Continuing to use the service after that means you accept the change.
